Terms of use of the B2B eShop of Böllhoff Verbindungstechnik AG

These terms of use apply to the use of all content of the Böllhoff eShop at eshop.boellhoff.ch

You will be notified of any changes to these terms of use in writing or by e-mail. If you do not object to this change within 4 weeks of receipt of the notification, the changes shall be deemed to have been acknowledged by you. You will be informed separately of your right of objection and the legal consequences of remaining silent in the event of a change to the terms of use. 

I. General terms of use
Contents of the website
The contents of the Böllhoff website are compiled and maintained with the utmost care and to the best of our knowledge.
Nevertheless, Böllhoff accepts no liability for the completeness, correctness, usability, suitability for specific purposes, up-to-dateness of the websites and the content shown there. The information on this page does not constitute a guarantee or warranty.
The respective user is obliged to check the content in advance for its suitability for the intended use or to have it checked.

Böllhoff is responsible for its own information on the Böllhoff websites in accordance with the general regulations. Böllhoff is not obliged to monitor external content and information provided or stored on Böllhoff websites.
Böllhoff will delete illegal information and third-party content from the Böllhoff websites as soon as it becomes aware of them.
Liability before this time is excluded.

II. Special terms of use for downloading CAD files or other files

These special terms of use govern the downloading of CAD files or other files that Böllhoff makes available for download on its website.

2.1 Download
Böllhoff provides registered users with CAD files or other files (e.g. technical data sheets) for download free of charge. Downloading is only available to registered users. The registration process is regulated in our General Terms and Conditions under section 2. Registration is only possible for companies, merchants and legal entities under public law.
Passing on user names and passwords to third parties is strictly prohibited.
The provision of CAD files or other files for download is purely voluntary between Böllhoff and its customers. It is subject to the restrictions on use set out under point 2.3 Böllhoff reserves the right to discontinue or change the download option at any time without specifying a reason. Böllhoff also accepts no liability for uninterrupted accessibility of the files.
The files provided by Böllhoff are provided for information purposes. Böllhoff reserves the right to change, adapt or delete the files/content/information at any time.

Downloads are not possible without the customer's agreement to these terms of use.
2.2 Property rights notice
The files and content that Böllhoff makes available for download on the eshop.boellhoff.ch website are protected by copyright and/or other forms of intellectual property rights for Böllhoff and companies of the Böllhoff Group.
Copyright notices or other Böllhoff marks may not be made unrecognisable and must be adopted.

2.3 Right of use
Böllhoff grants the registered user the non-exclusive, non-transferable right, revocable at any time, to use the downloads under the following conditions:

a) The downloads may only be used to support business transactions in the context of an existing business relationship with Böllhoff for the purpose of obtaining information and displaying data. They may only be used for the company registered in the Böllhoff eShop. They may be downloaded, saved and printed for this purpose.
b) With the exception of downloading and saving on the registered user's computer and printing for the purpose of obtaining information and displaying data, the user is prohibited from reproducing, distributing (regardless of the medium), making publicly accessible, publishing, reproducing on their own or third-party websites, copying or making publicly accessible or having publicly accessible or integrating there, publicly reproducing or utilising in any other form, whether in electronic or any other form, the respective CAD file/content/information or other file/content/information. Furthermore, it is prohibited to edit or redesign the file unless the prior written consent of Böllhoff or the respective rights holder has been obtained and granted. Furthermore, it is prohibited to use the data in competition with the service provider.
c) Sale to third parties and/or transfer to third parties is strictly prohibited.
d) Use for your own advertising purposes, in whatever form, digital or analogue, is strictly prohibited.

In the case of storage on a server within a network, the user must ensure that no reproduction, distribution, processing, public access or other utilisation in the above sense is carried out from there.
Böllhoff has the right to revoke the above right of use from the user at any time without providing a reason.
From the time of receipt of the cancellation, any further use is unlawful and will be prosecuted under civil and criminal law. Furthermore, the user is then immediately obliged to irretrievably delete the downloaded data by overwriting it several times with a special programme and to irretrievably destroy printouts by shredding them.

2.4. Liability
Downloads and their contents are provided on a voluntary basis, with no provision of guarantees, assurances or quality agreements.
The download is at the user's own risk.
Böllhoff accepts no liability for the accuracy, completeness, integrity, quality, usability of the downloaded CAD files or other files and their contents and information or documentation, or for the results that can be achieved or are intended by use of the CAD files or other files. Böllhoff is also not liable for any consequential damages resulting from use of the downloads, such as business interruption, loss of profit, loss of information and data.
Liability is also excluded for damage caused by viruses, malware, Trojan horses or comparable programs and/or which result in the destruction, impairment or shutdown of systems, networks or parts thereof. The user undertakes to implement sufficient measures to protect against viruses and other malware or other attacks. Liability is also excluded for modification of the files and their contents by third parties and for the consequences of unauthorised access by third parties to the Böllhoff network and affiliated companies of the Böllhoff Group.
This exclusion of liability does not apply in the event of culpable injury to life, limb or health or in the event of other mandatory liability, such as intent or gross negligence, fraudulent concealment of defects or the assumption of a guarantee or mandatory liability under the Product Liability Act or liability under the Federal Data Protection Act or breach of material contractual obligations, in the latter case, however, limited to the foreseeable damage typical for the contract, unless intent or gross negligence is involved. The exclusion of liability applies to Böllhoff as well as to all companies of the Böllhoff Group and their legal representatives and employees.

2.5 Access authorisation
Böllhoff reserves the right to delete or deactivate the download access authorisation of individual registered users if they violate or disregard these terms of use or at any time without providing reasons.

III. Applicable law, place of jurisdiction

The Swiss Code of Obligations (OR) shall apply to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Unless otherwise agreed, the place of fulfilment for all obligations arising from the contractual relationship between Böllhoff and the customer is the registered office of Böllhoff.

The exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship between Böllhoff and the customer is the registered office of Böllhoff in Switzerland. Böllhoff is also entitled to appeal to any other competent court.
